Terms of Use

These Terms of Use (the "Terms" or "Agreement") are a binding agreement between NST LABS TECH LTD, a company incorporated in Hong Kong ("Nstdata", "we", "us", or "our"), and you or the entity you represent ("you", "Client", or "User"). These Terms govern your access to and use of the Nstdata websites, dashboard, APIs, SDKs, documentation, support channels, and related products and services, including Global Proxy, Crawl, and Proxy Manager (collectively, the "Services").

By registering for, accessing, purchasing, or using the Services, clicking to accept these Terms, creating an account, or submitting an order form, you agree to be bound by these Terms. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you must not access or use the Services.

The Services are intended for business and professional use. If mandatory consumer-protection laws apply to you, nothing in these Terms limits rights that cannot be waived by contract.

About the rebrand (Nstproxy -> Nstdata)

Nstdata was formerly known as Nstproxy. The rebrand reflects the expansion of our platform beyond proxies and does not change the contracting legal entity. Nstdata is operated by the same legal entity, NST LABS TECH LTD.

Your existing account, login credentials, workspace, balance, subscriptions, order forms, invoices, and agreements remain valid and continue in force. The rebrand itself does not change your existing active plan or committed pricing, and existing API endpoints and credentials remain compatible unless we separately notify you of a migration requirement or deprecation schedule.

References to "Nstproxy" in existing order forms, invoices, documentation, API endpoints, dashboards, or customer communications will be deemed references to Nstdata where the context requires.

Incorporated policies and order of precedence

The following policies are incorporated into these Terms by reference:

If there is a conflict between documents, the following order of precedence applies unless expressly stated otherwise: (1) a signed enterprise agreement or signed Order Form; (2) the DPA for personal-data processing terms; (3) the Refund Policy for refund and cancellation matters; (4) the Acceptable Use Policy; and (5) these Terms.

Definitions

"Account" means the registered account, workspace, dashboard, API credentials, and related access rights through which you use the Services.

"Authorized Users" means your employees, contractors, representatives, or systems that you authorize to access the Services under your Account.

"Client Data" means data, instructions, URLs, configuration, requests, files, credentials, logs, or other content you submit to, route through, generate with, or receive from the Services, including outputs generated by Crawl.

"Documentation" means technical documentation, guides, examples, API references, SDK materials, and usage instructions made available by Nstdata.

"Global Proxy" means Nstdata's proxy network access and routing infrastructure.

"Crawl" means Nstdata's web crawling, rendering, extraction, and data-output service.

"Proxy Manager" means Nstdata's routing, load-balancing, traffic-management, fingerprint, logging, and monitoring layer.

"Usage Data" means technical, operational, diagnostic, billing, and statistical data relating to use of the Services, including request counts, bandwidth, target domains, status codes, latency, errors, routing decisions, and system logs.

The Services

Nstdata provides a proxy-powered web data infrastructure platform consisting of:

  • Global Proxy: network access and routing infrastructure.

  • Crawl: a web crawling, rendering, and data-extraction API.

  • Proxy Manager: a routing, load-balancing, monitoring, and traffic-control layer.

Nstdata operates infrastructure that routes, processes, manages, and helps execute requests. You are solely responsible for the targets you access, the data you collect, the instructions you provide, your downstream use of outputs, and your compliance with applicable laws, third-party terms, and rights of others.

We may provide Documentation, API examples, SDKs, dashboards, support, and configuration guidance. You are responsible for validating that your implementation, configuration, and use case are lawful and appropriate for your environment.

Account registration, eligibility, and verification

You must provide accurate, complete, and current registration, billing, tax, and contact information. You must keep this information current.

You are responsible for safeguarding your Account credentials, API keys, tokens, passwords, private endpoints, and Authorized User access. You are responsible for all activity under your Account, whether or not authorized by you, unless the activity is caused by Nstdata's breach of these Terms.

You must promptly notify us of any suspected unauthorized access, credential compromise, or security incident involving your Account.

You may not create multiple Accounts to evade usage limits, abuse controls, compliance screening, payment obligations, suspension, or restrictions. Unless we approve otherwise, each person or business entity may maintain only one primary Account.

We may require identity verification, sanctions screening, payment verification, business-use verification, or other compliance checks before or during your use of the Services. We may suspend, restrict, or decline access if verification is not completed to our satisfaction or if we reasonably believe your use presents legal, security, operational, payment, or abuse risk.

Client responsibilities and compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including data protection, privacy, intellectual property, cybersecurity, anti-spam, export control, sanctions, consumer protection, and computer misuse laws.

You represent and warrant that:

  • you have all rights, permissions, authorizations, and lawful bases required for your use of the Services;

  • you will not use the Services to access, collect, process, or disclose data that you are not legally entitled to access, collect, process, or disclose;

  • you will not access non-public, login-gated, paywalled, confidential, or restricted data unless you have authorization and a lawful basis to do so;

  • you will respect applicable website terms, access restrictions, intellectual property rights, privacy rights, and contractual obligations;

  • you will not use the Services to harm Nstdata, third parties, systems, networks, or individuals; and

  • your Client Data and instructions will not violate these Terms, the Acceptable Use Policy, applicable law, or third-party rights.

You are responsible for your Authorized Users, contractors, agents, customers, end users, and any third party that uses the Services through your Account.

Acceptable use and prohibited conduct

You may use the Services only for lawful business purposes and in accordance with these Terms, the Documentation, and any applicable Order Form. Until a separate Acceptable Use Policy is published, this Section 7 operates as Nstdata's acceptable-use rules.

You must not, and must not permit any third party to:

  • use the Services for unlawful, harmful, deceptive, abusive, infringing, or fraudulent activity;

  • violate or encourage violation of any law, regulation, third-party right, or third-party contractual obligation;

  • send spam, unsolicited bulk messages, phishing messages, scams, chain letters, deceptive advertising, or fraudulent communications;

  • create, host, support, test, distribute, or facilitate malware, botnets, credential theft, phishing pages, ransomware, spyware, or other malicious code;

  • perform unauthorized vulnerability scanning, penetration testing, credential stuffing, account takeover, password spraying, denial-of-service attacks, scraping of non-public data, or unauthorized access to systems, services, or accounts;

  • bypass access controls, authentication, paywalls, CAPTCHAs, robots restrictions, rate limits, technical protection measures, or anti-abuse systems in a manner that is unlawful or unauthorized;

  • collect, process, sell, or disclose personal data without all required notices, consents, lawful bases, agreements, and safeguards;

  • collect sensitive personal data, children's data, health data, financial account data, government identifiers, biometric data, or similarly regulated data unless expressly authorized by law and approved by Nstdata where required;

  • infringe intellectual property rights, including by downloading, copying, distributing, or enabling access to copyrighted content without permission;

  • use torrent clients or peer-to-peer distribution through the Services;

  • access, watch, download, share, or distribute illegal sexual content or sexual content involving minors;

  • impersonate any person or entity or misrepresent your identity, affiliation, source, traffic origin, or authorization;

  • resell, sublicense, lease, rent, redistribute, or provide the Services to third parties except as expressly permitted in an Order Form;

  • benchmark, test, monitor, reverse engineer, copy, or analyze the Services for competitive purposes without our prior written consent;

  • modify, adapt, translate, decompile, disassemble, reverse engineer, or create derivative works of any part of the Services except to the extent such restriction is prohibited by law;

  • interfere with, degrade, overload, disrupt, or attempt to gain unauthorized access to the Services or related systems;

  • use the Services in a way that damages the reputation, availability, security, or integrity of Nstdata, our providers, our network, other customers, or third parties; or

  • use free trials, credits, promotions, referral programs, or discounts through fake accounts, duplicate accounts, automated signups, abuse, or misrepresentation.

Nstdata may investigate suspected violations, monitor usage for abuse and compliance purposes, request information about your use case, block or throttle traffic, suspend or terminate access, remove configurations, revoke credentials, and cooperate with law enforcement or third parties where legally required or reasonably necessary to protect the Services or others.

Crawl, target websites, and data outputs

Crawl helps discover pages, render JavaScript, control crawl depth, and export outputs such as Markdown, JSON, HTML, links, screenshots, or PDF, depending on the selected product features and plan.

You are responsible for selecting target websites, URLs, crawl depth, frequency, concurrency, proxy settings, output formats, retention, and downstream processing. You must not use Crawl to access or extract data from targets where you lack authorization or a lawful basis.

Nstdata does not grant you rights to any third-party website, database, content, personal data, intellectual property, or service. You are responsible for reviewing and complying with target-site terms, robots and access policies, rate limits, legal restrictions, and rights of others.

Outputs generated by Crawl may be incomplete, inaccurate, delayed, blocked, formatted differently than expected, affected by target-site changes, or unavailable. You are responsible for reviewing, validating, and deciding whether outputs are suitable for your use case.

You must not use Crawl outputs to create unlawful profiles, make legally significant automated decisions without required safeguards, violate privacy laws, infringe third-party rights, or engage in harmful, deceptive, discriminatory, or abusive activity.

Fees, billing, taxes, and payment

You agree to pay all fees according to the pricing, plan, billing metrics, subscription, usage rates, included credits, overage rates, and payment terms shown at checkout, in the dashboard, on the pricing page, in an invoice, or in an applicable Order Form.

Billing metrics may include, depending on the product and plan, bandwidth, GB, requests, successful requests, URLs, tasks, pages, credits, proxy type, IP resources, seats, subscriptions, add-ons, or other usage units described at purchase.

For products or plans expressly described as success-based, only successful billable units are charged according to the applicable product definition. For all other plans, billing is based on the metrics described at purchase or in the applicable Order Form. Target-site blocking, third-party network behavior, user configuration, client software, unsupported use, or downstream processing issues do not create refund rights except as expressly stated in the Refund Policy or an Order Form.

Unless expressly stated otherwise, fees are exclusive of taxes, duties, levies, bank fees, currency conversion fees, payment processor fees, and other governmental or third-party charges. You are responsible for all applicable taxes and fees, excluding taxes based on Nstdata's net income.

You authorize Nstdata and our payment processors to charge your selected payment method for fees, renewals, usage, overages, taxes, and other amounts due. You must provide accurate payment information and promptly update it when it changes.

If payment is overdue, disputed without good faith basis, reversed, charged back, or declined, we may suspend or restrict the Services, revoke credits, require prepayment, collect amounts owed, or terminate your Account. You are responsible for reasonable collection costs where permitted by law.

Subscriptions, credits, trials, cancellation, and refund

Some Services may be sold as subscriptions, prepaid credits, wallet balances, pay-as-you-go usage, trials, promotions, or custom enterprise plans.

Subscriptions renew automatically for the renewal period shown at purchase unless cancelled before renewal. Cancellation stops future renewals but does not automatically refund current-period fees, used credits, committed spend, or prepaid amounts unless required by law or stated in the Refund Policy or an Order Form.

Credits, wallet balances, free trials, promotions, bonuses, discounts, and included usage may be subject to expiration, product restrictions, account restrictions, non-transferability, or other limits shown at purchase or in the dashboard. Promotional or trial credits have no cash value and are not refundable unless required by law.

Refunds, cancellations, duplicate purchases, non-refundable events, refund windows, and chargeback handling are governed by the Refund Policy and any applicable Order Form. Except as required by law or expressly stated in the Refund Policy or an Order Form, payments are non-refundable.

API credentials, rate limits, and security controls

You must use the Services in accordance with the Documentation, API limits, rate limits, concurrency limits, fair-use controls, traffic policies, and technical restrictions made available by Nstdata.

We may implement or change rate limits, capacity limits, request validation, routing controls, abuse detection, anti-fraud controls, security rules, country or target restrictions, product-specific limits, and other safeguards. We may block, throttle, reroute, reject, or delay traffic where necessary to protect the Services, comply with law, manage capacity, or reduce abuse.

You must not share API keys, tokens, private endpoints, or credentials outside your organization or with unauthorized persons. You are responsible for rotating credentials and disabling access when an Authorized User no longer needs access.

Service availability, changes, and maintenance

We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or secure availability. Web data collection depends on factors outside our control, including target-site behavior, target-site changes, third-party networks, anti-abuse systems, client configuration, and internet conditions.

Unless an applicable Order Form or separate service level agreement expressly provides otherwise, we do not provide an uptime, success-rate, latency, geolocation accuracy, target access, output accuracy, or data completeness service-level guarantee.

We may modify, update, limit, suspend, discontinue, or replace any part of the Services, website, dashboard, API, SDK, endpoint, pricing page, documentation, product feature, or integration. We will use reasonable efforts to notify you of material changes that materially reduce core functionality of a paid Service.

We may perform scheduled or emergency maintenance. We may suspend access without notice where reasonably necessary for security, legal compliance, abuse prevention, provider requirements, service integrity, or protection of Nstdata, customers, or third parties.

Client Data, Usage Data, and data processing

As between you and Nstdata, you retain ownership of your Client Data. You grant Nstdata a non-exclusive, worldwide, royalty-free license to host, process, transmit, route, cache, store, reproduce, display, and use Client Data as necessary to provide, secure, support, bill, troubleshoot, improve, and operate the Services, comply with law, and enforce these Terms.

Nstdata may collect and use Usage Data to operate, secure, analyze, support, bill, and improve the Services; detect abuse or fraud; produce aggregated or de-identified statistics; and develop or improve products. We will not identify you publicly as the source of aggregated or de-identified Usage Data.

Where Nstdata processes personal data on your behalf as a processor or service provider, such processing is governed by the DPA, if applicable. Where Nstdata processes personal data for account administration, website operation, billing, support, security, compliance, marketing, or our own business purposes, such processing is described in the Privacy Policy.

You must not submit regulated, sensitive, confidential, or high-risk data to the Services unless your plan and Order Form permit it and you have implemented all required legal, contractual, and technical safeguards.

We may retain logs, Usage Data, invoices, support records, compliance records, and security records for the periods needed for business, legal, tax, security, abuse-prevention, and compliance purposes.

Intellectual property

Nstdata and its licensors retain all rights, title, and interest in and to the Services, websites, software, APIs, SDKs, Documentation, dashboards, designs, trademarks, logos, technology, know-how, and other intellectual property.

Subject to your compliance with these Terms and payment of applicable fees, Nstdata grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes during the applicable subscription or usage period.

Except as expressly permitted, you may not copy, modify, distribute, resell, sublicense, rent, lease, provide service-bureau access to, reverse engineer, scrape, benchmark for competitive purposes, or create derivative works of the Services.

If you provide feedback, suggestions, ideas, improvements, bug reports, or recommendations, you grant Nstdata a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

Nstdata may use your name, logo, or trademarks only with your prior consent, in accordance with an Order Form, or as otherwise permitted by law.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood to be confidential, including business, technical, pricing, product, security, customer, financial, roadmap, order-form, and account information.

The receiving party will use the disclosing party's Confidential Information only to perform or exercise rights under these Terms, will protect it using reasonable care, and will disclose it only to employees, contractors, advisors, providers, or representatives who need to know it and are bound by confidentiality obligations at least as protective as this Section.

Confidential Information does not include information that is publicly available without breach, independently developed without use of the Confidential Information, lawfully received from a third party without restriction, or approved for release in writing.

The receiving party may disclose Confidential Information where required by law, court order, regulator, stock exchange rule, or legal process, provided that it gives reasonable notice where legally permitted.

Third-party services and providers

The Services may depend on or interoperate with third-party networks, hosting providers, payment processors, communication providers, data centers, identity providers, software libraries, target websites, and other services. Nstdata is not responsible for third-party services, target websites, content, availability, policies, or actions, except to the extent required by law.

Your use of third-party services may be subject to third-party terms and policies. You are responsible for complying with those terms and policies.

Beta, preview, and experimental features

Nstdata may offer beta, preview, early-access, trial, or experimental features. These features may be incomplete, changed, suspended, or discontinued at any time. They are provided "as is", may be subject to additional limits, and should not be used for production workloads unless Nstdata expressly confirms otherwise.

Suspension and termination

We may suspend, restrict, throttle, or terminate your access to all or part of the Services immediately if:

  • you breach these Terms, the Acceptable Use Policy, an Order Form, or applicable law;

  • your use creates legal, security, abuse, operational, reputational, provider, payment, or compliance risk;

  • payment is overdue, disputed without good faith basis, reversed, or charged back;

  • verification or compliance screening is not completed to our satisfaction;

  • your Account or credentials appear compromised;

  • we are required to do so by law, provider requirement, court order, regulator, or law enforcement request; or

  • continued access could harm Nstdata, customers, providers, third parties, systems, or networks.

Where reasonable and legally permitted, we may provide notice and an opportunity to cure. We are not required to provide notice before suspension where immediate action is necessary.

You may stop using the Services at any time and may request Account closure through the dashboard or by contacting us. Account closure does not relieve you of payment obligations incurred before closure.

Upon termination or expiration, your right to access and use the Services ends. We may delete, retain, or export Client Data according to the Privacy Policy, DPA, Order Form, product settings, and applicable law.

Sections that by their nature should survive will survive, including payment obligations, acceptable use, Client responsibilities, data rights needed for recordkeeping, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous provisions.

Warranties and disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN APPLICABLE ORDER FORM, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSTDATA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR THAT ANY PROXY, IP, GEOLOCATION, ROUTING, TARGET ACCESS, CRAWL OUTPUT, DATA, API RESPONSE, SUCCESS RATE, OR RESULT WILL BE ACCURATE, COMPLETE, AVAILABLE, LAWFUL FOR YOUR USE CASE, OR SUITABLE FOR YOUR PURPOSE.

YOU ARE RESPONSIBLE FOR BACKUPS, VALIDATION, COMPLIANCE REVIEW, AND YOUR DECISIONS BASED ON OUTPUTS FROM THE SERVICES.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSTDATA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, SAVINGS, OR BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSTDATA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO NSTDATA FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this Section apply to the fullest extent permitted by law and regardless of whether any remedy fails of its essential purpose.

Indemnification

You agree to defend, indemnify, and hold harmless Nstdata, its affiliates, officers, directors, employees, contractors, licensors, providers, and agents from and against any claims, demands, damages, liabilities, losses, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Services;

  • your Client Data, target websites, instructions, configurations, or outputs;

  • your breach of these Terms, the Acceptable Use Policy, an Order Form, or applicable law;

  • your violation of third-party rights, including privacy, data protection, intellectual property, contractual, or computer-access rights;

  • your products, services, customers, end users, or downstream processing; or

  • use of the Services by your Authorized Users or through your Account.

We may assume control of the defense of any matter subject to indemnification at your expense. You may not settle any claim in a manner that imposes obligations on Nstdata or admits fault by Nstdata without our prior written consent.

Export controls, sanctions, and restricted use

You must comply with all applicable export control, sanctions, anti-money-laundering, anti-bribery, anti-corruption, and trade compliance laws. You represent that you and your Authorized Users are not located in, organized under the laws of, or ordinarily resident in any sanctioned jurisdiction, and are not listed on any sanctions or restricted-party list.

You must not use the Services for military, weapons, surveillance, law-enforcement, high-risk government, or other restricted end uses where prohibited by law or by Nstdata policy.

We may block or restrict access from certain countries, regions, entities, users, targets, or use cases where required by law or reasonably necessary for compliance or risk management.

Notices and communications

We may provide notices through the website, dashboard, email, in-product messages, documentation, invoice messages, or other reasonable means. Notices are effective when posted or sent, unless stated otherwise.

You consent to receive service, security, billing, legal, product, and account communications electronically. Marketing communications may be sent where permitted by law, and you may opt out of marketing communications as described in the message or Privacy Policy.

Legal notices to Nstdata must be sent to legal@nstdata.io and to: NST LABS TECH LTD.

Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date or otherwise notified through reasonable means.

Unless a longer notice period is required by law or an Order Form, changes take effect when posted. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region, subject to any mandatory rights that cannot be waived by contract.

Before filing a formal claim, each party agrees to try to resolve the dispute in good faith by providing written notice describing the dispute and allowing at least thirty (30) days for business-level escalation, unless emergency relief is needed.

Miscellaneous

These Terms, together with the incorporated policies and applicable Order Forms, constitute the entire agreement between you and Nstdata regarding the Services and supersede prior or contemporaneous agreements on the same subject, except for existing signed agreements that expressly remain in effect.

You may not assign or transfer these Terms or your Account without our prior written consent. Nstdata may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, change of control, affiliate transfer, or by operation of law.

Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, third-party provider failures, government actions, legal restrictions, cyberattacks, denial-of-service attacks, or power failures.

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary, franchise, or employment relationship.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Failure to enforce any provision is not a waiver. Any waiver must be in writing and signed by the party granting the waiver.

Headings are for convenience only and do not affect interpretation.

These Terms are written in English. Any translation is provided for convenience only. In case of conflict, the English version controls.
